Bank Verification Number: Commonly called BVN is a biometric identification system implemented by the Central Bank of Nigeria to curb or reduce illegal banking transactions in Nigeria.
Electronic communications: transmission or reception of electromagnetic signals, signals, writings, images or sounds.
Information: Any of the information that can be viewed or downloaded from the Website (including the Platform) and includes, but is not limited to, data, pricing information, Terms, images, reports, policies and software. It also includes our copyright, Intellectual Property Rights, Information Technology or other commercially valuable property.
Information Technology: All computer hardware (including network and telecommunications equipment), databases, and all computer software (including the Platform or any software required for the Platform) owned, used, leased by us.
Intellectual Property Rights: All patents, rights to inventions, copyrights and related rights, trade marks, business names and domain names, rights in get up, goodwill and right to sue for passing off, database rights, right to use, and protect the confidentiality of, confidential information, and all other intellectual property rights, whether registered or unregistered, including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim property form, such rights and all similar or equivalent rights or forms of protections which subsist or will subsist now or in the future in any part of the world.
Up-Interest: Money paid upfront for the duration of the fund at the agreed monthly rate for the disbursement of said fund.

Liquidation: The withdrawal of ASPIRE funds disbursed into The Account upon expiration of the agreed term

Loan Commitment: The binding commitment from a borrower to participate in a Lending Opportunity through our Platform by having a Loan transferred to The Account, in each case for which the borrower has paid upfront interest at the agreed interest rate.
Password: Is the customer-generated code selected by you for use during the sign-on. It is very important that you select a Password you will remember and that does not contain information about you that could be easily compromised. You are responsible for keeping your Password and Digital Account information confidential. You may change your password at any time while on the ASPIRE platform; select the User Profile button from the main menu and then “Security” and “Change Password”. Your Password must have at least 6 characters including alpha numeric and symbolic characters.
Platform: The internet marketplace operated by us at aspirealwaysng.com for the purpose of fund request
Privacy Policy: Our privacy policy governing the use of your data which can be found at https://client.aspirealwaysng.com/privacy-policy.
USSD code (Unstructured Supplementary Service Data): The protocol or interface used by a GSM terminal to communicate with the server of the provider operator of a service.
Services: The services offered to you through the Website or Platform.
The Account: The bank account opened by the service provider/Lender on behalf of the Borrower, within which the requested fund is disbursed.
“We”, “us”, or “our”: Refers to the ASPIRE service/product provider which offers the Service and which holds the accounts accessed by the Service.
“You” or “your”: refers to the owner of the account.

3. Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account, including suspected or actual account “phishing” incidents. However, you may be held liable for losses incurred by Cash Affidavit or any other user of or visitor to the Site due to someone else using your applicable username, password or account. You may not use anyone else’s username, password or account to access the Site at any time without the express permission and consent of the holder of such username, password or account, including the persons card and/or bank details. The service provider cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Our Service may contain links to third-party web sites or services that are not owned or controlled by the ASPIRE service provider.

The ASPIRE service provider has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that the ASPIRE service provider shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

5. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

6. Bank Account

The bank account/card details and bank verification number provided by you must be accurate, complete, and current. It must belong to you, the holder of an ASPIRE account. The service provider shall directly liquidate the disbursed sums from The Account upon the maturity of the loan. Therefore, you must keep the account funded. Failure to keep the account funded shall leave us with no other option but to notify you bank your breach of this agreement.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regardingthe Service.

8. Changes/Amendments

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 7 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

9. Privacy

ASPIRE’s applicable Privacy Policies and applicable online security and online privacy practices apply to use of the Site, and its terms are made a part of these Terms of Use, as the case may be. Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, account information) is encrypted.

We do not promise that the site or any content, service or feature of the site will be error-free or uninterrupted, or that any defects will be corrected, or that your use of the site will provide specific results. 14. Third-Party Account Information

By using any applicable banking or account linking service or any similarly applicable service throughout the Site, you authorize us and our agents to access third party sites designated by you or on your behalf, to retrieve information necessary for granting the loan and collecting it loan along with interest once it matures, and you appoint us and our agents as your agent for this limited purpose. Each time you enter your account login information, you are permitting us and our agents to process your request and use information submitted by you to accomplish the foregoing.

15. Violation of these terms of use

We may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint (including, but not limited to, any governmental or law enforcement inquiry) regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) our rights or property, or the rights or property of visitors to or users of the Site, including our customers. We reserve the right at all times to disclose any information that we deem necessary to comply with any applicable law, regulation, legal process or governmental request, including in connection with assisting the government fight the funding of terrorism and money laundering activities and complying with any and all applicable laws, rules or regulations in relation thereto.

16. Dispute Resolution Agreement

To the extent permitted by applicable law, any claim or dispute related to these Terms of Use or your use of the Site or duties contemplated under these Terms of Use, including the validity of this arbitration clause (the “Claim”), shall be settled by binding arbitration administered by the Lagos Multi-Door Court in accordance with the Lagos Multi-Door Court Rules. The arbitration shall be governed by the Lagos State Arbitration Law 2009 to the exclusion of any provision of state law inconsistent therewith or which would produce a different result. A single, neutral arbitrator shall determine the Claim of the parties and render a final award in accordance with the substantive law applicable. Strict confidentiality shall govern any arbitration proceedings, any and all information submitted to the arbitrator by the parties and to the decision or award entered by the arbitrator. Any court having jurisdiction may enter judgment upon the award rendered by the arbitrator. The terms hereof shall not limit any obligation of a party to defend, indemnify or hold harmless another party against court proceedings or other claims, losses, damages, or expenses.

The procedures specified in this Section shall be the sole and exclusive procedures for the resolution of disputes between the parties arising out of or relating to your use of the Site; provided, however, that a party may request temporary remedies in a court of law having competent jurisdiction to maintain the status quo or to protect goods or property until the arbitration has initiated and the selected arbitrator has had the opportunity to resolve the request for temporary relief.

Each party is required to continue to perform its obligations under these Terms of Use pending final resolution of any dispute arising out of or relating to these Terms of Use and your use of the Site, unless to do so would be impossible or impracticable under the circumstances.
